Companies House holds information on all companies registered in the United Kingdom. Once a year, all registered companies must submit a confirmation statement to help Companies House ensure that the information they hold is accurate and up to date.
Your annual return must include the company’s registered office and SIC code along with details of all directors and any other ‘people with significant control’. If any of this information has changed (e.g. if the company has relocated to a new address, or if directors have been added or removed) this information should be included too. If your company has shares, shareholder information and a statement of share capital must also be included.
You must review your company records and file at least one confirmation statement every 12 months. The deadline for this is based on your ‘review period’. If you’re filing a confirmation statement for the first time, your review period ends 12 months after the date on which your company was incorporated. If you’ve filed before, the review period ends 12 months after the ‘confirmation statement date’ on your previous statement. Either way, you must submit an up-to-date confirmation statement within 14 days of the end of your review period.
Failure to file a confirmation statement can result in your company being struck off the Companies House register. You may also receive a fine.
Strictly speaking, the old annual return was replaced by the confirmation statement in 2016. Many people use the two terms interchangeably, but if you want to be correct, the present-day name for the document that companies submit to Companies House each year is ‘confirmation statement’.
